Terms and Conditions Wired Messenger / Jobber

These Terms of Service (“Terms”) govern your use of the Wired Messenger integration application (the “Service”), which connects Jobber and Klaviyo through our middleware. By subscribing to or using the Service, you agree to be bound by these Terms and our Privacy Policy.
1. Definitions
- “Service” means the Wired Messenger middleware application that connects Jobber and Klaviyo.
- “Member,” “Customer,” or “User” means any individual or company who subscribes to or uses the Service.
- “Content” means any data, information, or materials transferred by or through the Service.
- “Third-Party Services” means Jobber, Klaviyo, or any other external platforms integrated with the Service.
2. Service Description
The Service provides a middleware-based integration that enables data transfer between Jobber and Klaviyo. The Service processes data in real time but does not permanently store or retain customer information.
3. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service.
4. Subscription & Payment
- The Service is provided on a recurring monthly subscription basis.
- By subscribing, you authorize Wired Messenger (or its payment processor) to charge your payment method each billing cycle until canceled.
- All subscription fees are non-refundable.
- Prices may change; we will provide advance notice before any adjustment.
5. Electronic Communications
By using the Service, you consent to receive communications from us electronically (via email or through the Service). You agree that such communications satisfy any legal requirement that they be in writing.
6. Data Handling & Privacy
- The Service acts only as a conduit between Jobber and Klaviyo.
- Wired Messenger does not permanently store, access, or use your data beyond what is required to provide the Service.
- You are solely responsible for the accuracy, legality, and integrity of any data transferred through the Service.
7. Intellectual Property
The Service, including all software, technology, trademarks, and branding, is owned by Wired Messenger and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely as permitted under these Terms.
8. Use of the Service
You agree not to:
- Use the Service for unlawful, abusive, or disruptive purposes.
- Attempt to reverse engineer, copy, or exploit the Service.
- Interfere with the proper functioning of the Service.
9. Third-Party Services Disclaimer
- The Service depends on Third-Party Services (Jobber, Klaviyo, and others).
- Wired Messenger is not responsible for the actions, policies, performance, or availability of these Third-Party Services.
- You are responsible for maintaining valid accounts with any Third-Party Services connected to the Service.
10. Indemnification
You agree to defend, indemnify, and hold harmless Wired Messenger, its employees, officers, directors, agents, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of:
- Your misuse of the Service,
- Your violation of these Terms, or
- Any data or content you transmit through the Service.
11. Service Availability
- We will make reasonable efforts to keep the Service available.
- We are not responsible for interruptions caused by Third-Party Services or other external factors.
- The Service is provided “as is” without warranties of any kind.
12. Limitation of Liability
To the fullest extent permitted by law:
- Wired Messenger is not liable for indirect, incidental, or consequential damages.
- Our total liability for any claim related to the Service will not exceed the subscription fees you paid in the past three (3) months.
13. Termination
- You may cancel your subscription at any time; access continues until the end of your billing cycle.
- We may suspend or terminate your access for non-payment, misuse, or violation of these Terms.
- We may discontinue the Service at any time, with reasonable notice.
14. Assignment & Non-Waiver
You may not assign these Terms without our written consent. We may assign these Terms without restriction. Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
15. Changes to Terms
We may update these Terms at any time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing Law & Arbitration
- These Terms shall be governed by the laws of Ontario, Canada.
- Any disputes will be resolved by binding arbitration under the Commercial Arbitration Act (R.S.C., 1985, c. 17 (2nd Supp.)).
- Arbitration shall be conducted in your city of residence unless otherwise agreed.
- All claims must be brought individually and not as part of a class action.
- Nothing prevents us from seeking injunctive or equitable relief in court for the protection of intellectual property or misuse of the Service.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wired Messenger regarding the Service and supersede any prior agreements.
